1. Acceptance of Terms

By accessing or using WTF.ai (“the Service,” “we,” “us,” or “our”) you confirm that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

2. Description of Service

WTF.ai is an image recognition service that uses artificial intelligence to identify films and television programmes from screenshots and images. The Service is provided on an as-is basis. We make no representation or warranty that any identification will be accurate, complete, or timely. Identifications are provided for informational and entertainment purposes only.

3. Content Licence

By uploading content to WTF.ai and submitting any associated feedback, you grant WTF.ai and its affiliates a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, store, modify, adapt, publish, translate, create derivative works from, distribute, and otherwise exploit that content and feedback for any purpose related to operating, providing, maintaining, improving, and developing the Service and its features.

You represent and warrant that: (a) you own the content you upload or have all necessary rights and permissions to grant the above licence; (b) your content does not infringe the intellectual property, privacy, publicity, or other rights of any third party; and (c) your content complies with these Terms and all applicable laws.

You acknowledge that WTF.ai does not claim ownership of your content. The licence you grant above does not affect your ownership rights in your content.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Upload content that infringes the intellectual property rights of any third party
  • Upload content depicting minors in a sexual or exploitative context
  • Use automated tools, bots, scripts, or other means to access or interact with the Service at scale without our prior written consent
  • Attempt to probe, scan, test the vulnerability of, or bypass any security measures of the Service
  • Attempt to decompile, reverse engineer, or otherwise derive source code from any part of the Service
  • Circumvent, disable, or interfere with security-related features of the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair it
  • Collect or harvest any information from the Service using automated means
  • Submit false, misleading, or fraudulent content or feedback
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service in violation of any applicable local, national, or international law or regulation

5. Content Moderation

We employ automated and manual processes to screen uploads for illegal, harmful, or policy-violating content. We reserve the right, but have no obligation, to review, monitor, edit, or remove any content at our sole discretion and without notice.

Uploads that are determined to contain illegal content — including but not limited to child sexual abuse material — will be removed, and the matter may be reported to relevant law enforcement authorities. We cooperate fully with lawful requests from authorities.

6. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all other content created by WTF.ai, is owned by or licensed to WTF.ai and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use the WTF.ai name, logo, or any other proprietary materials without our prior written consent.

Film titles, posters, production stills, and related third-party metadata displayed on the Service remain the property of their respective rights holders and are referenced solely for identification and informational purposes.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WTF.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you in full.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WTF.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO WTF.AI IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED POUNDS STERLING (£100).

9. Indemnification

You agree to indemnify, defend, and hold harmless WTF.ai and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your content; (c) your breach of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable law or regulation.

10. Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please send a written notice to legal@whatsthatfilm.ai containing: (a) your name, address, and contact details; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Service; (d) a statement of good faith belief that the use is unauthorised; (e) a statement, under penalty of perjury, that the information is accurate and you are authorised to act; and (f) your physical or electronic signature. 11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice and with or without cause, including if we believe you have violated these Terms. You may stop using the Service at any time.

Upon termination, all licences and rights granted to you under these Terms will immediately cease. Sections 3, 7, 8, 9, 12, and 13 shall survive termination.

12. Governing Law

These Terms and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of California and applicable federal law of the United States, without regard to conflict of law principles.

13. Dispute Resolution, Arbitration & Class Action Waiver

Informal Resolution First. Before filing any formal claim, you agree to contact us at legal@whatsthatfilm.ai and give us 30 days to attempt to resolve the dispute informally. Many issues can be resolved this way and we will make a genuine effort to do so.

Binding Arbitration. If we cannot resolve a dispute informally, you and WTF.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including questions about their validity, interpretation, or enforcement) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Los Angeles County, California, or, at your option, by telephone or videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND WTF.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding. If this specific paragraph is found to be unenforceable, the entirety of this arbitration section shall be null and void.

Exceptions. Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Los Angeles County, California to prevent irreparable harm pending arbitration. Nothing in this section prevents either party from bringing a claim in small claims court for disputes within that court's jurisdiction.

Opt-Out. You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@whatsthatfilm.ai with the subject line “Arbitration Opt-Out.” Opting out does not affect any other part of these Terms.

14. Force Majeure

WTF.ai shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet outages, or failures of third-party service providers.

15. Changes to These Terms

We may modify these Terms at any time at our sole discretion. If we make material changes, we will notify registered users by email or by displaying a prominent notice in the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

We recommend reviewing these Terms periodically. The “Last updated” date at the top of this page indicates when the Terms were last revised.

16. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and WTF.ai regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
